Some new regulations on placement and trading of privately placed corporate bonds

On September 16th, 2022, The Government issued Decree No. 65/2022/ND-CP on supplementing and amending some articles of Decree No. 153/2020/ND-CP dated December 31st, 2020 prescribing private placement and trading of privately placed corporate bonds in domestic market and offering of corporate bonds in international market, whereby, there are some notable following contents on redemption of bonds before maturity:

  • Redemption of bonds before maturity must comply with the agreement between the issuer and the bonds owner
  • Redemption of bonds under the investor’s request must be carried out in the following cases:

+ Issuing enterprise violated regulations on the offering and trading of corporate bonds as recorded by the decision of a competent agency, and such violations can not be remedied or the remedial measure is not approved by the bonds owners who represent at leat 65% of the total outstanding bonds of the same type.

+ Issuing enterprise violated the bond issuance plan, and such violations can not be remedied or the remedial measure is not approved by the bonds owners who represent at leat 65% of the total outstanding bonds of the same type.

+ Other cases are specified in the bond issuance plan regulations as prescribed in Article 13 Decree No. 153/2020/ND-CP.

This Decree takes effect from the signing date.
